THE CONSTITUTION AND RULES OF ILORIN GOLF CLUB

THE CONSTITUTION OF ILORIN GOLF CLUB

ARTICLES

1.    NAME: the club shall be known as known as Ilorin Golf Club

2.    OBJECTIVES: The objectives of the club shall be

a.    To promote the game of golf

b.    To promote friendly relationships among members

c.     To maintain friendly and reciprocal relationships with similar clubs

d.    To provide recreational and social facilities for its members

3.    MEMBERSHIP

CATEGORIES OF MEMBERS

The club shall consist of gentlemen and ladies in the following categories.

a)    Full membership available for family’s resident within 30km of the club, excluding children above 18 years of age who are required to pay full membership.

b)    Country membership available for family’s term residents up to a period of one month renewable up to a maximum of three months, in any particular year.

(d). Honourary Membership for persons whom the Committee feels, can contribute or have contributed to the advancement of the Club, irrespective of whether or not he/she plays golf, subject to approval at annual general meeting.

(e). Associate Membership available to students and other persons who are interested in the game of golf but cannot meet the financial obligations of full membership.

(f). Members shall pay. Annual subscription and dues as approved by the Club.

(g). The Treasurer (or Secretary) shall send a notice in writing to members informing them about their subscription thirty days before the subscription becomes due. If any member fails to pay his subscription after it has become due the Treasurer (or Secretary) shall send a notice in writing to his address as recorded in the books of the club calling upon him to pay the same within one month. If he fails to pay his subscription, he shall stand suspended until he pays his subscription.

 4. APPOINTMENT OF TRUSTEES

(a). the club. They shall be persons of good character and integrity. Only members shall be eligible for appointment as Trustees provided

(i) he/she is not less than 50 years

(ii) he/she has spent a minimum of 10 years of continuous and unbroken membership of the club

(iii) he/she must have contributed to the development of the club

(iv) he/she must have distinguished himself/herself as an exemplary member of the club and the society

(v) he/she must be of impeccable character

(b). Such Trustees (hereafter referred to as the Trustees shall be five in number and shall be known as the "THE REGISTERED TRUSTEES OF THE CLUB”

(c). A Trustee shall hold office for a term of five years subject to reappointment for another term of five years

(d). The Trustees of the club shall be appointed at a general meeting of members of the Club by a simple majority of all members present and voting by secret ballot.

(e). A Trustee shall cease to hold office if he, subject to approval at the Annual General Meeting:

(I) Resigns his office voluntarily or for (1) old age.

(ii) Becomes insane

(iii) Convicted of a criminal offence involving dishonesty by a court of: competent jurisdiction.

(iv) Is recommended for removal from office by majority vote of members present at any General Meeting of the Club.

(v) Ceases to reside in Nigeria.

(f). Upon a vacancy occurring in the number of Trustees, new eligible members shall be elected/appointed at the next General Meeting of the club.

5. FUNCTIONS OFTRUSTEES

(a). The Trustees shall be custodians of the landed, movable and immovable properties of the club.

(b). They shall have appellate jurisdiction over disciplinary matters concluded by the Management Committee.

(c). They shall submit a report on the state of the club at every Annual General Meeting or at an Extra-Ordinary General Meeting.

(d). matters as may be referred to them by the Management Committee.

(e). The Trustees may arrange for their meetings at their convenience but not less than twice a year. The Secretary of the Management Committee shall be Secretary to the Board of Trustees.

6. COMMON SEAL

(a). The Trustees shall have a common seal.

(b). Such common seal shall be kept i the custody of the Secretary who shall produce it when required for use by the Trustees.

(c). All documents to be executed by the Trustees shall be signed by at least three members and sealed with the common seal.

(d). The Trustees shall apply for Certificate of Incorporation under the appropriate and relevant laws.

(e). If such certificate is granted, the Trustees, shall have power to accept and hold in trust, all land belonging to the Club and to acquire same on behalf of Club subject to such conditions that may govern registration.

7. MANAGEMENT COMMITTEE

(a). The management of the club shall be vested with powers within the limits of the Club's constitution and authority to frame and to put into effect any Bye-law subject to ratification at a general meeting.

(b). The committee shall also have power to appoint and/or dissolve any sub-committees as the need arises.

8. COMPOSITION OF THE MANAGEMENT COMMITTEE

(a). The Management Committee shall consist of the Captain, Vice-Captain, Secretary, Treasurer, House Officer, Competition Secretary, Course Officer, Caddy Officer and Lady Captain. A quorum of Committee meeting shall consist of at least five committee members.

(b). A Committee member shall serve for one term of one year and is eligible for re-election for another term of one year (maximum of two terms consecutively).

(c). A Committee may be voted out of office by not less than two-thirds of majority of -paid-up members who are in attendance at an Extraordinary General Meeting if a resolution on moved and ratified at such a meeting.

(d). The Committee shall have the power Committee which may occur.

(e). The Committee may co-opt additional members, as and when necessary. Under these circumstances, co-opted

(f). The Committee shall normally meet not less than once each month for the purpose of transacting the business of the Club.

9. FUNCTIONS OF THE COMMITTEE MEMBERS

(a).  THE CAPTAIN

(i) The captain is the Chief (1) Executive of the club and shall preside over the Committee and the General Meetings.

(ii) He shall have control over the activities of members in matter concerning the Club and members of the Management committee.

(b). VICE-CAPTAIN

(i) The vice-captain shall at all times assist the captain and shall act fully as Captain whenever he is absent.

(ii) Should the Captain resign or be removed, he shall assume the full powers and responsibility (ies) of the office until the next Annual General Meeting.

 (c). SECRETARY

(i) The Secretary shall keep full and correct minutes of Committee and General Meetings.

(ii) All correspondence shall passthrough the office of the Secretary.

(iii) The minutes shall be confirmed at immediate subsequent meeting.

(iv) He shall be responsible for the public relation activities of the club and any other function as may be directed by the committee.

(v) He shall also be the Secretary(A)of Board of Trustees of the Club.

(d). TREASURER

(i) The Treasurer shall receive all monies due to the Club and shall settle all amounts authorized by the committee

(ii) He shall cause quarterly statement of accounts to be displayed on the Notice Board for Club members.

(iii) He shall present monthly statement of the Club finances at every monthly meeting of the Management Committee and a balance sheet at the Annual General Meeting.

(iv) The audited final accounts shall be displayed two weeks before the Annual General Meeting.

(e). HOUSE OFFICER

(i) The House Officer shall be responsible for maintaining the internal and external surrounding of the Club House excluding the course.

(ii) He shall also be responsible for organizing the social activities of the club.

(iii) He shall be responsible for the operation of the Bar including the control of Bar staff.

(iv) He shall not directly disburse or expend money without the approval of management

(vi) He shall render monthly account including proceeds from guest fees to the Management and Bar account shall .be displayed on the notice board for members.

(vii) All proposal for maintenance of the Club House and running of the Bar shall be submitted to the Management for approval.

(f). COMPETITION SECRETARY

(i) The Competition Secretary shall be responsible for Golf Competitions with the directive of the captain.

(ii) All Correspondence concerning competitions shall be directed to him through the office of the Secretary of the management committee.

(iii) He shall display in the Clubhouse details of all competitions.

(iv) Prizes shall be purchased by ad by Management under the supervision of the Competition Secretary

(v) The Competition Secretary shall submit to the management proposal for organizing Tournament/Competition.

(vi) The Competition Secretary may by prior arrangement and agreement appoint the Club Professional to assist him in organizing tournaments.

(g). COURSE OFFICER

(i) The course officer shall supervise all works on the Golf course.

(ii) He shall be responsible for the ground staff.

(iii) He shall advise the committee on any expense needed for the course and shall ensure that the course is maintained in good conditions at all times.

(iv) He shall not directly disburse or expend money without the approval of the management.

(v) He shall submit proposals for maintenance of the course to the management for approval.

(h). CADDY OFFICER

(i) He is responsible for the overall appointment and administration of caddies.

(ii)  He is responsible for the conduct, behaviour, and discipline of all caddies.

(iii) The Caddy Officer may by prior arrangement and agreement appoint the Club Professional to assist him in this function.

 (i). LADYCAPTAIN

(i) The Lady Captain shall be the head of the Ladies section of the club.

(ii) The Lady Captain shall be a member of Management Committee.

(iii) The Lady Captain shall present for deliberation and approval matters relating to Ladies wing of club to management committee at its monthly meetings.

10. FINANCIAL CONTROL MANAGEMENT COMMITTEE

(a) income and expenditure of the club except the Treasurer.

(b) No Committee member shall at any time(q)percentage or similar payment in respect of any transaction involving the club.

(c) The Management shall put in place financial guidelines for running the club.

11. ANNUAL GENERAL MEETING

(a).  The Annual General Meeting shall be held during the month of January in the club premises and on such a date as the committee may decide.

(b). The agenda of the meetings shall be drawn by the committee and must include 'Any Other Business'.

(c). Members of the club shall be notified of any Annual General Meeting two weeks prior to the date of the meeting. The notice posted on the club Notice Board must specify the day, the place and time of commencement together with the agenda.

(d). A quorum of one third of the paid-up member sis required for such meetings.

(e). The house, at this meeting shall appoint a member as the Returning Officer for the election. All officers for the year shall be elected at this meeting.

12. ELECTIONS.

(a). A notice calling for election nominations shall General Meeting.

(b). Nominations shall close 24 hours before the time specified for the commencement of the Annual General Meeting.

(c). Only paid-up members can nominate and be nominated for election.

(d). Election shall be done by secret ballot.

13. EXTRA ORDINARY GENERAL MEETING

(a). The Committee may call an extra-ordinary General Meeting at any time it considers necessary. One may also be called at a signed request of at least one-third of the paid-up club members. At least seven days’ notice shall be given for such a meeting.

(b).   A quorum of one third of the paid-up members is required for such meetings.

(c).  Only the specified agenda shall be discussed at such meetings.

14. MID YEAR GENERAL MEETING

There shall be a mid-year General Meeting of the club to review the activities of the club and take report from the Management Committee. Such meeting will hold in July on such a date to be fixed by the management committee. The quorum shall be one third of paid-up members.

15. ADMISSION OF MEMBERS

(a). proposed and seconded by paid-up members of the club. His full name and address and

occupation and the names of the Proposer and the Seconder shall be communicated in writing

to the Secretary who shall cause these particulars to be exhibited prominently in the

club house in a part frequented by the members for a period of at least six weeks before his

election as a member. Until the candidate’s appointment is approved as a member he shall

not be entitled to any of the privileges of club.

(b). Candidates for membership shall be approved by the committee at its' sole discretion.

(c) On the admission of a new member, the Secretary shall at once give him/her notice thereof, and furnish him/her with a copy of the Etiquette of the club and the club's constitution and club's Bye-Laws.

(d) New members shall be formally introduced into the club at a ceremony organised by the Management Committee for that purpose.

(e). Every new member shall pay on being admitted to the club the prevailing entrance fee

and the prevailing annual subscription. Such payment shall be refunded in case of the application being rejected.

(f). All non-handicapped members are to undergo a one month training course under the hand of the Professional of the club before they can be allowed to play on the course.

16.  RIGHTS AND PRIVILEGES OFMEMBERS

(a). Full members shall be entitled to all the benefits and privileges of membership.

(b). Honourary, Life and Temporary Members shall be entitled to the benefits and privileges of members except that they shall not be qualified to be officers or members of the Committee nor have the right to vote.

(c). Country Members cannot vote or be voted for but can participate in all other activities of the Club.

(d). Associate members cannot vote or be voted for. They are not eligible for club organized competitions and cannot use the facilities in the Club House. They however have full use of the course.

(e). A visiting member of a reciprocal club shall have the right to use the amenities of the club and shall pay the green fees as fixed by the committee.

17. COMPETITIONS

(a) Competitions shall be held at such times and under such conditions as the Committee shall determine.

(b) The Club shall organize monthly Mug Competitions, Club Championship Tournament and Captain's Day tournament every year

(c) The Club shall organize sponsored competitions at such times as the management deem appropriate.

(d) The club shall organize programmes for interested members on the rules of Golf and competition.

(e) Entry fees to all competitions shall be paid to club account.

18. DISCIPLINE

(a). A sub-committee shall be appointed by the Management Committee to investigate alleged misconduct. Its members shall have no vested personal interest in the matter being investigated.

Any member of the club who has been from the Club under (a) and (d)above is Committee for a period of three years. This who are automatically removed from office upon suspension.

(b). The Disciplinary Sub-Committee shall have power to recommend to the Management Committee suspension or expulsion against any member and/or take such other disciplinary measure against any member whose conduct shall, in the opinion of the sub-committee, render him unfit for membership of the Club.

(c). Before any such member is expelled the Secretary shall give him seven days' written notice to attend a meeting of the Management Committee and shall inform him of the complaints against him.

(d). No member shall be expelled before appearing before the Disciplinary Sub-Committee and answering complaints made against him.

(e). Any member expelled or called upon to resign shall forfeit all subscriptions and enrolment fees paid by him and shall not be allowed to use the Golf course or the Club House.

(f). Re-admission shall be granted to suspended members subject to such terms as the Committee may decide.

(g). Any member suspended twice before shall face automatic expulsion after indictment for any other misconduct.

19. LADIES SECTION

(A) (1) registered as member of the club.

(ii) shall comprises lady members of not less than 18 years of age.

(iii) The Section shall be affiliated to the Nigerian Ladies Golf Union (NLGU).

(iv)The Management Committee of the main club shall assist and encourage the Ladies Section and shall from time to time liaise and organize joint events and activities.

 (B) There shall be a Ladies Executive Committee which shall comprise:

(i). Lady Captain (who shall be the head of the section)

(ii)  Vice Lady Captain

(iii) Hon Lady Secretary

(iv) Lady Treasurer

(v) Lady Competition Secretary

(vi) Ex-officio: The immediate past Lady Captain.

The above Committee shall be duly elected during the Annual General Meeting of the Ladies Section and their functions are as specified in this constitution.

(c) Election of Officers of Ladies Section shall hold in February. The Election shall be in

the same manner as spelt out in this Constitution.

(d) The Lady Captain shall be a member of the Club management committee

(e)The Ladies Section shall have priority on the course when they play their local kitty except on public holidays or at any time as may be determined by the Management Committee.

(f) All activities, actions and decisions taken by the Ladies Section must be subject to and consistent with the Nigeria Ladies Golf Union (NLGU) Constitution and Rules. No rule (s) of the ladies’ section shall be in conflict with the club constitution; where there is conflict, the club constitution supersede.

(g) In the event of the office of the Lady Captain becoming vacant the Vice Lady Captain shall act in her place, and if she is unavailable, the Lady Members shall appoint one of their members to fill the vacancy.

(i) The Management Committee of Ilorin Golf Club reserves the right to look into the accounts of the Ladies Section.

(i) Any unresolved problems among Ladies should be referred to the Management Committee of the Club.

 20. INTERPRETATION

Club herein (Club) means Ilorin Golf Club and Committee means Management Committee. Members include both male and female, and Men include women.

21. AMENDMENT

No alteration or addition to this constitution shall be made except by a resolution carried by a majority of at least two-thirds of the Member(s), present at a General Meeting, the notice of which shall contain particulars of the proposed amendment.
